RULES OF PROCEDURE
ARTICLE 1 - OBJECT
This payment fixes the conditions for application of the statutes of Aquitanian Association Country-Basque Consultants, in accordance with article 13 of the aforesaid statutes
These rules of procedure, like all later possible modifications, will have to be approved by the Ordinary General meeting
ARTICLE 2 - ADHERENTS
Association is made up of certain categories of members, whose definition is specified in its statutes.
ARTICLE 3 - PROCEDURE Of ADHESION
The candidate having expressed his desire to take part in association near one of the members or the secretariat, withdraws or receives a file of request for adhesion near the secretariat of association
The file includes/understands:
Aquitaine Country-Basque Consultants - Consular Hotel - 1, Street Donzacq 64100 BAYONNE After reception of the file duly and completely supplemented and the documents of presentation (plates, references...) as well as a declaration of the sales turnover realized on the last two exercises, the secretariat proposes at the office the examination of the candidates' file
To be validated and presented by the office at the Board of directors, the candidature must be examined during a discussion with the candidate by at least two members of the association, of which at least an administrator (the other member who can be the "godfather" of the candidate if he already is known and sponsored).
The two members will have to make sure that the file is complete, to collect the possible complementary elements and to provide to the Board of directors the information necessary to the decision-making (real activity of the consultant, references...) which would not appear in these documents of presentation
The Board of directors examines the candidatures presented by the office and makes his decision in the majority simple of the present or represented, under the statutory conditions
The secretariat informs the candidate of the Council Decision and calls the amount of the contribution. Adhesion is final only after payment and cashing of the contribution
ARTICLE 4 - CONTRIBUTIONS
The amount of the annual contribution is fixed by the Board of directors it differs according to whether it acts of an active member or associated, only categories of cotisants
The contributions were fixed by the meeting on October 22, 2001 of the Board of directors of Association at:
The call of contributions takes place each exercise, in December, for the year to come
The contributions will have to be regulated within one month after the expiry
Any contribution not paid within 3 month will involve the exclusion of the member
For the new members the annual contribution is exigible entirely until June; it will be reduced by 50 % beyond
ARTICLE 5 - OBLIGATION OF ADHERENTS COTISER BUT ALSO... TO TAKE PART
1. Adhesion with Aquitanian Association Country-Basque Consultants obliges each one of its members and more particularly the "Credits" to assist in their Association, in some form that it is and not only by discharging the amount of the contribution which is only one of the conditions of membership
2. When it wishes to take to an unspecified initiative in the name of Aquitanian Association Country-Basque Consultants, in particular to call a meeting, to address a document, to use the services of the secretariat of Association, with respect to the other members of Association or the thirds (undertaken, territorial, local authorities...) or to take a step entering the objectives of Association, the member is held to obtain prior agreement or express train of the Office
3. Under penalty of immediate exclusion, no member of Association will be able to prevail himself in his relationships to the thirds, in particular his trade, of his membership of Aquitanian Association Country-Basque Consultants, to obtain or try to obtain all advantages, markets, contracts, etc
... On the other hand, the indication of its membership of Aquitanian Association Country-Basque Consultants on all legal commercial documents is authorized provided which appears the following mention:
"Signatory of the charter of Aquitanian Association Country-Basque consultants"
ARTICLE 6 - BODIES Of ASSOCIATION
1 - The ORDINARY GENERAL ASSEMBLY
In accordance with article 11 of the statutes, the whole of the categories of the adherent members takes part in the A.G.O
The members of Aquitanian Association Country-Basque Consultants can collect more than three procurations per nobody in the event of vote for the General Assemblies and for the Boards of directors
The Ordinary General meeting meets at least once per annum; but it can be brought to meet on convocation of the President, the Board of directors or on the request of the quarter at least of its members
CONVOCATION Of The Ordinary General meeting
She is joined together on convocation addressed to all the members at least 15 days before the date of the meeting
The agenda, the moral report/ratio and of activities presented by the Secretary, the financial statement presented by the Treasurer, as well as the program for the year to come are studied by the Board of directors in his meeting preceding the General meeting
The candidatures for the Board of directors as well as the various questions put by the members, must arrive at the seat of Association at least eight days before the General meeting
The members present or represented with the General meeting provide by vote for the renewal or the ratification with the members with the Board of directors. The examination of the votes takes place during the General meeting. The decisions are made in the majority absolute of the voters. If necessary, it is organized a second tower in the majority relative
2 - The BOARD OF DIRECTORS
The Board of directors:
The Board of directors is invested the widest capacities to act in the name of Association. He represents this one near the Public administrations, and private
He takes with lease the buildings necessary to the needs for Association in accordance with the goals which it set, buys and sells all real and movable goods - the decision being subjected to the approval of the General meeting
He makes use of the cash in hand and, generally, decides acts corresponding to the goals of Association
In accordance with article 8 of the statutes, the Council delegates its powers to the Office of Association
3 - THE OFFICE
The election of the Office - whose composition is specified in article 7 of the statutes - obligatorily takes place during the board meeting which follows the annual Ordinary General meeting
The Office meets in theory once per month and each time the President or one the third of the members considers it necessary. During the meetings, the Office has the possibility of associating any person likely to inform it on the questions on the agenda
The Office can ask for the creation of Committees
The Office acts by permanent delegation of the Board of directors
The decisions are made by half of the members present or represented under the conditions of quorum envisaged by the statutes
The Presidents of Commission take part of right to the meetings of the Office. They must be at least members of the Board of directors
4 - COMMISSIONS
The Board of directors can be brought to create any commission which it will consider useful
The President and the deputy President are members of right of any commission. All the members of Association have vocation to take part in the commissions; they are the privileged place of the study, the reflexion, the development of the proposals for actions to undertake to express the existence, the development and the dynamism of Association
The commissions function under the responsibility for the Office of Association: a member of the Office at least is present in each commission; he animates the commission and acts as his centre by delegation of the Office
The commissions meet as much as need; they organize their operation (agenda, periodicity and frequency of the meetings, secretariat).
5 - COMMITTEE Of ORIENTATION AND REFLEXION
In order to facilitate the promotion of the activities of association and the coordination of his work and projects with those of the administrations, institutions, communities and economic mediums (consular organizations, employers' federations, associations of companies and council), the Board of directors will be able to propose the constitution and the meeting of a committee of orientation and reflexion
This Consultative Committee will be composed of the authorities representative of the organizations and sectors concerned, which will wish to take part in it because of their interest for the activities of the councils of companies and for the regional economic development
For example, and without this list being restrictive, could be solicited:
Each organization will have to appoint in its centre a correspondent who will represent it at the committee
The meetings of the committee will be convened by the office of Association, either at regular intervals (at least once per annum), or according to a project, of a consultation or a decision specifies to take
The members of the committee will be regularly held informed of the activities of association and guests with its demonstrations, like with the General meeting, but without deliberative voice nor elective
They are subjected to no contribution as active members or associated, but can take part in the financing of association or its activities as members of honor or benefactors
The opinions, suggestions or the projects formulated by the committee are examined by the office of the association then possibly submitted to the Board of directors for information and decision-making
ARTICLE 7 - INTERVENTIONS OF The ADHERENTS FOR the ASSOCATION
1 - The members of Aquitaine Country-Basque Consultants who carry out an intervention of representation or council for Association, must do it on a purely free basis, the refunding of the expenses caused by this action on presentation of documents in proof
If it accepts this intervention, the member commits himself providing:
2 - In all the other cases of remunerated intervention, an invitation to tender will be carried out in priority near the members
The final choice of the person receiving benefits will be carried out by the Office which will inform the members assembled with of them nearest.
