BOARD OF DIRECTORS - COMPOSITION

Association is directed by a Board of directors made up of 9 members elected among the active members

The President of the C.C.I. from Bayonne Basque Country is member of right of the Board of directors in complement of its 9 elected members

The term of the office of the elected Administrators is fixed at 3 years, the Board of directors being renewed by 1/3 every year

In the event of vacancy of station, the Council provides temporarily for the replacement with its members; is carried out to their final replacement during the General meeting nearest
The mandate of the members substitutes ends at the time where the mandate of the replaced members should normally expire

The office of Association, renewed every year, is composed of 5 members:

The Treasurer and the Secretary are appointed by the Board of directors on proposal of the President-Delegate

ATTRIBUTIONS OF The BOARD OF DIRECTORS

The Board of directors ensures the execution of the decisions of the General meeting, prepares the budget, writes the moral report/ratio for the Extraordinary

General meetings, Ordinaires, and fixes their agenda

In a more general way, it ensures the management and the operation of Association

It can delegate whole or part of its capacities to the office (see rules of procedure).

OFFICE and BOARD MEETING

1) the Board of directors at least meets 2 times per annum on convocation of the President or the request of the third of his members
To be valid, the decisions must be made in the majority of the members present or represented, under the condition of a quorum of 5 people. In the event of division, the voice of the President is dominating
In the absence of the requisite quorum, a second Board of directors will be convened under about eight with the same agenda. This second Board of directors will be able consequently to take a decision without obligation of quorum

2) the Office meets as many time as of need. The decisions of the Office are made by half of its members present or represented
